Terms of Service

Last update: 15 July 2026

1. Who I am and what these terms cover

Hey Sarsa ("I," "me") is a digital presence consultancy operated by a sole proprietor based in the Philippines, doing business as Hey Sarsa. These Terms of Service (the "Terms") govern your use of www.heysarsa.com (the "Site") and your purchase of the consulting services described in Section 3 (the "Services").

By using the Site, applying for an Outside View, or purchasing any Service, you agree to these Terms. If you do not agree, do not use the Site or the Services.

The Services are professional consulting services provided for business use. You represent that you are at least 18 years old and that you are engaging me for the purposes of a business you own or operate, not as a consumer for personal or household purposes.

2. The Site

The Site is informational. There are no user accounts, and you cannot register, log in, or post content on the Site. The only information you submit through the Site is what you provide in the application forms. My Privacy Policy at www.heysarsa.com/privacy-policy explains how I handle that information, and it forms part of these Terms.

3. The Services

I offer four Services. The scope, timeline, and price of each engagement are confirmed in writing (by email or in the engagement documents) before work begins, and those written confirmations control if they differ from the summaries below.

The Outside View. A free, written review of how your business appears online. It is provided by application only. I accept a limited number of applications each month, review each application individually, and may accept or decline any application at my discretion without giving reasons. The Outside View is provided for general informational purposes and creates no ongoing engagement.

The Inside Look. A paid diagnostic audit of your business across my three-lens framework, delivered as a written diagnosis with a walkthrough call.

The Follow-Through. A fixed-scope, fixed-price implementation engagement, quoted from your Inside Look and delivered against agreed checkpoints.

The Lookout. An ongoing monthly engagement, described further in Section 5.

4. Fees and payment

All prices are stated and payable in US dollars unless agreed otherwise in writing. Applicable taxes, and any transaction or currency conversion fees charged by your payment provider, are your responsibility.

I accept payment by direct bank transfer, or through a third-party payment provider, commonly Wise, Payoneer, or PayPal including card payments processed through them. Another reputable provider can be used where we agree on one.

Where you pay through a provider, your payment details are collected and processed by that provider under its own terms and privacy policy, and never pass through my systems. Where you pay by bank transfer, the transaction runs between your bank or transfer service and mine.

Any transfer, transaction, or currency conversion fees charged by your bank or provider are payable by you. Payment is due in US dollars unless we agree otherwise in writing. Funds received in another currency are converted at the rate applied by the sending service.

The Inside Look. Payment is due in full before work begins, unless agreed otherwise in writing.

The Follow-Through. Fifty percent of the fixed fee is due before work begins, and the remaining fifty percent is due at the final checkpoint. If you proceed to a Follow-Through within 30 days of receiving your Inside Look, your Inside Look fee is credited against the Follow-Through fee.

The Lookout. Billed monthly in advance. If an amount due is not paid, I may pause work and withhold undelivered work until payment is received.

5. The Lookout: renewal, minimum term, and cancellation

The Lookout is a monthly subscription with a three-month minimum term. After you complete the minimum term, it renews automatically each month until cancelled.

You can cancel by emailing hey@heysarsa.com. Cancellation takes effect at the end of the monthly period already paid for, provided you have completed the three-month minimum. I do not provide refunds or credits for partial months. I may end The Lookout myself with at least 30 days' written notice, in which case I will refund any amount you have prepaid for periods after the end date.

6. Ending an engagement early

Either of us may end an engagement before it is complete.

If you end it. You may end a Follow-Through or other fixed engagement by written notice. Each checkpoint in your proposal represents an agreed share of the total fee. You owe for every checkpoint delivered or approved before notice, plus any work in progress on the current one, charged pro-rata and handed over in whatever state it's in.

Worked example: a $6,000 engagement with three checkpoints, ending after the second. Two of three checkpoints delivered = $4,000 owed. You paid $3,000 as deposit, so $1,000 remains payable. If you'd ended it after the first checkpoint, $2,000 would be owed against a $3,000 deposit, and $1,000 would be refunded. I'll set out the calculation in writing before invoicing or refunding anything.

If I end it. I may end an engagement by written notice if you materially breach these Terms or if continuing the engagement is no longer practicable. I will refund amounts paid for undelivered work as described in Section 7.

If you become unreachable. My work depends on your input. If I cannot reach you for 30 days despite at least two attempts through the contact details you gave me, I may close the engagement. The engagement is then treated as if you had ended it under this section, and restarting later is a new engagement with a new quote. A paused or closed engagement does not extend the 30-day credit window in Section 4.

7. Refunds

Because my Services consist of professional judgment and work delivered in stages, fees are non-refundable once the corresponding work has begun or been delivered. Specifically:

  • The Inside Look fee is non-refundable once paid, because work on your audit begins immediately. If you proceed to a Follow-Through within 30 days of receiving your Inside Look, the fee is credited in full against that engagement.

  • The Follow-Through payments are non-refundable once the work stage they cover has been delivered or approved at a checkpoint.

  • The Lookout fees are non-refundable once the monthly period has begun.

If I fail to deliver an agreed Service, or if I cancel an engagement before delivering, I will refund the amounts paid for the undelivered work. Nothing in this section limits any rights you have under laws that cannot be excluded by agreement.

8. Your responsibilities

My work depends on what you give me. You agree to:

  • provide accurate and complete information in your application and during any engagement

  • respond to requests for input, access, and checkpoint approvals within a reasonable time (if delivery timelines depend on your input and that input is delayed, my timelines extend accordingly)

  • ensure you have the rights to any materials you provide to me, including text, images, logos, and access to accounts and tools, and

  • use the Site and the Services only for lawful purposes.

9. Confidentiality

During an engagement, each of us may learn confidential information about the other, such as business plans, financial figures, systems, and account credentials. Each of us agrees to use the other's confidential information only for the engagement, to protect it with reasonable care, and not to share it with anyone else, except for service providers bound by similar duties (for me, the providers described in my Privacy Policy) or where disclosure is required by law.

This does not apply to information that is publicly available, already known to the receiving party, or independently developed. These obligations continue after the engagement ends.

Access to your accounts and materials. Most of my work needs access to systems you own — your website, analytics, email platform, booking system — and to materials you provide, such as logos, copy, photos, and brand files. Where that's the case:

  • I'll ask for the least access that lets me do the work. Wherever the platform allows it, I'd rather you invite hey@heysarsa.com as a user on your account. That way I log in as myself, you can see exactly what I have access to, and you can remove it in one click without changing anything of yours.

  • If you share a password instead, I store it in a password manager, never in a form, spreadsheet, chat thread, or note, and I don't share it with anyone. If you send it by email or chat, I move it to the password manager and delete the message.

  • I use access and materials only to deliver the services we've agreed, never for anything else.

  • Your materials stay yours. I keep them only as long as the work needs, and return or delete them on request.

  • At the end of the engagement I remove my access and tell you in writing which accounts I've left. You don't need to ask. Where you gave me a password rather than an invitation, I delete my copy and recommend you change it.

  • If you'd rather revoke access at any point, tell me, and I'll tell you what it means for anything still in progress.

  • If you'd like me to keep access after we finish, say so and I'll keep it. Otherwise the default is that I remove it.

10. Intellectual property

Site and methods. The Site, its content, and my frameworks, methods, templates, and know-how, including the three-lens framework and its sub-checks, belong to me and remain mine. Nothing in these Terms transfers them to you, and you may not copy, resell, or repackage them.

Deliverables. Once an engagement is paid in full, you own the deliverables I created for you in that engagement, such as your audit report, website, funnel, email sequences, and automations, and you may use them freely in your business. I keep the right to reuse the general skills, methods, and know-how involved in producing them. Deliverables may include third-party components, such as platform features, fonts, stock assets, or plugins, which remain licensed under their own terms; you are responsible for maintaining any subscriptions or licenses those components require after handover.

Your materials. You keep ownership of everything you provide to me. You grant me permission to use those materials only as needed to deliver the Services.

Portfolio. I may describe the general nature and results of my work for you in my own marketing. I will not publish your confidential information, and I will not use your name or testimonial without your permission.

11. Prohibited activities

You may not:

  • use the Site or the Services for any unlawful purpose or in violation of these Terms

  • use the Site to advertise or offer to sell goods or services

  • submit false or misleading information in an application

  • copy, scrape, or harvest content or data from the Site by automated means

  • interfere with the security or operation of the Site, or

  • infringe the intellectual property or other rights of any person in the materials you provide to me.

12. Third-party services

The Site and the Services rely on third-party providers, including my website platform, form tools, scheduling and communication tools, and the payment providers listed in Section 4, and the Site may link to their websites. Those services are governed by their own terms and policies, and I am not responsible for them. I am also not responsible for outages or changes in third-party tools that your business uses, although during an engagement I will work with you in good faith around them.

13. Disclaimers

What I commit to. I'll do the work with real care and to a professional standard. I'll tell you what I actually think, including when it isn't what you hoped. If something I built doesn't do what the proposal said it would, I'll fix it whenever you tell me.

What I can't promise. My work is analysis, recommendations, and implementation based on the information available to me. What happens commercially afterwards depends on your market, your offer, your pricing, and what you do next. Because those factors sit outside my control, I don't guarantee particular results such as revenue, leads, conversions, or search rankings, and I’d be wary of anyone who promises they can.

The Site itself, including the free Outside View, is provided "as is" and "as available," without warranties of any kind, to the maximum extent permitted by law. My recommendations are not legal, tax, or financial advice.

14. Limitation of liability

To the maximum extent permitted by law, my total liability to you for all claims arising out of or relating to the Site, the Services, or these Terms is limited to the amounts you paid me for the Services in the six months before the event giving rise to the claim.

To the same extent, I am not liable for indirect, incidental, special, or consequential losses, or for lost profits, lost revenue, or lost data.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, or your rights under mandatory laws of the country where you live.

15. Indemnification

You agree to indemnify me against claims by third parties arising from materials you provided to me, from your breach of these Terms, or from your use of the deliverables after handover, except to the extent the claim results from my own breach or negligence.

16. Dispute resolution

Informal resolution first. If a dispute arises, you and I will first try to resolve it informally. Either party may start this by writing to the other, and both parties will negotiate in good faith for at least 30 days before starting any formal proceeding.

Arbitration. If the dispute is not resolved informally, it will be finally resolved by binding arbitration seated in Makati City, Philippines, conducted in English before one arbitrator. The arbitrator's decision is final and enforceable in any court with jurisdiction. Either party may instead bring an individual claim in a small claims court with jurisdiction, if the claim qualifies.

Local mandatory rights. If the law of the country where you live gives you the right to bring a claim in your local courts or under your local consumer protection rules, and that right cannot be waived by agreement, nothing in this section takes it away. Either party may also seek injunctive relief in court to protect intellectual property or confidential information.

17. Governing law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law rules, except where the mandatory laws of your country of residence apply and cannot be excluded.

18. Changes to these Terms

I may update these Terms from time to time. The "Last updated" date at the top shows the current version, and the updated Terms will be posted on this page. Changes apply from their effective date and do not change the written terms of an engagement already in progress. Continued use of the Site or the Services after changes take effect means you accept the updated Terms.

19. General

These Terms, together with the Privacy Policy and the written confirmations for your engagement, are the entire agreement between you and me about the Site and the Services. If any part of these Terms is found unenforceable, the rest remains in effect. If I do not enforce a provision, that is not a waiver of it. You may not assign these Terms without my written consent; I may assign them in connection with a merger, acquisition, or sale of the business, subject to applicable law.
